CULTURAL ASSOCIATION FOR SOCIAL PROMOTION
“MASTERS OF MAGIC”
SOCIETY RULES

Art. 1 – Denomination
It is constituted, according to article 18 of the Italian Constitution, of articles 36, 37 and 38 of the Civil Code, to D.L. 460/97 s.m.i., the cultural Association of social promotion and aggregation called
ASSOCIAZIONE CULTURALE “MASTERS OF MAGIC”
Hereinafter: “MASTERS OF MAGIC”
Art. 2 – Registered Office
Registered Office for the Association is Via Roma, 62 – 11027 Saint Vincent (AO)
Art. 3 – Purposes and Objects of the Company
The Association is non- profit. It is nonpartisan, non-sectarian, without racial or social discrimination. It is born as a spontaneous union of people which, strong with their common experiences and passions, define themselves as dreamers and aim to return to the Art of Magic the role of Queen of the Arts.
From the Latin “in ludo”, to deceive: to be part of the game; conjuring is an ancient art, which has always fascinated mankind. In recent years, mainly in Italy, it has however been subjected to a decrease of attention. The mission of the Cultural Association “Masters of Magic” is to innovate the millenary Art of Magic, to mould a kind of modern performance, exciting and mysterious.
In this, the Association joins the objectives of all most important Italian Artistes of the world of illusion and of all the amateurs of this noble art by putting itself as the reference point, both qualifying and dynamic, for the coordination of the Associates on the local territory, especially in Aosta’s Valley, believing that only when joined, all Members could be in the game… continuing to deceive.
By sharing the “principles of magical ethics”, the Association therefore proposes to promote events to encourage, diffuse and promote the art of conjuring; to enable the cultural exchange and the experiences among the fans, professionals, amateurs and lovers of the Magical Arts; to provide and to procure spaces for the performance of Artistes; to perform didactic activities to help form future artistes; to preserve and to illustrate from the historical and museum point, an iconographic heritage, in collaboration to Universities and artistic and performing schools .
The Association, thanks to the use of equipment and facilities on the territory (in loan, use or owned), wants to sustain and especially contribute to development, diffusion and promotion of the Magical Arts as a moment educative, creative and of high social value.
To achieve its objectives, the Association could:
• Perform any kind of activity inherent to the Magical Arts;
• Perform initiatives of artistic, cultural, touristic and recreational promotion of shows, entertainment and leisure;
• Sustain and facilitate international cultural exchanges, with particular attention to Italy and Europe, by promoting national and international meetings with other Magic Associations;
• Promote projects with a social aim through the offer, by means of its own Members, of resources and artistic skills, activities of illusionism and conjuring performances;
• To promote and to organize events, exhibitions and reviews; to organize training, stages, exhibitions and competitions for Members, Associates or Participants;
• To organize trips, tours and holidays for Members, Associates or Participants;
• To publish magazines and bulletins about the social activities, in addition of curing the print, reproduction and publication of books, texts and pamphlets about the activity that constitutes the objective of the Society;
• To constitute a library and to provide services allowing the Members, Associates and Participants to consult and loan the Society’s holdings;
• To produce its own audio-visual material, photographs, gadgets and any other item and object necessary to achieve the aims of the Society, and to cure their distribution;
• To utilize Internet sites or similar multimedia tools;
• To organize meetings, encounters, musical evenings and parties with Members, Associates or Participants or at Associations or Clubs being part of National Entities for the Promotion and Social Solidarity;
• To organize conventions, lectures and seminars for Members, Associates or Participants;
• To manage and to run recreational facilities, sporting facilities, theatres and art and entertainment rooms, including providing food and drinks to Members, Associates or Participants.
The Association is characterized by the democracy in its structure, by the electivity and gratuity of official roles and by the mandatory budgets.
The Association explicitly accepts and applies statutes, regulations and what deliberated by the competent Bodies of Recognized Organizations or Associations of Social Promotion that the Association should resolve to join, based on the specific activities carried out by the association, as part of its institutional purposes outlined in this statute.

Art. 4 – Members
The Association grants the position of Member to all those who participate in its social life, accept the Social Rules and bring with continuity their social, cultural and economic contribution. All Members have social duties and rights that could be better indicated in a possible separate rule book; Members constitute the ordinary and extraordinary meetings of the Association and enjoy the active and passive electorate. Every Member who has reached the age of majority is entitled to vote. Members elect the Association’s governing bodies, approve and modify the Statute and the Rules, approve the annual financial and economical budget with the exclusion of every limitation as the temporality of their participation of the social life of the Association.
Members, in unspecified number, are divided in:
FOUNDING MEMBERS – those are the members who created the Association and are listed in the Constitutional Act or have explicitly joined the association in its first year of life.
ORDINARY MEMBERS – those are the Members who constitute the Association, share its objectives and are regularly paid the annual membership fee.
JUNIORES – those are the members that, on January 1st of the current year, have not reached 18 years of age.
SUPPORTING MEMBERS – those are the Members who, with a personal economical intervention, contribute to increment the assets of the Associations.
HONORARY MEMBERS – the Board of Directors may confer the title of honorary member to people particularly worth toward culture or conjuring, as well as eminent personalities who, for their social or cultural position, may honour and raise, with their presence, the prestige of the Association.
Every Member may renew every year his/her subscription without any obligation and, at the time, they are to pay the membership fee in the way and according to the conventions established by the Board of Directors. The Membership is non-transferable and not revaluable.
Art. 5 – Participants
Are the subjects as per article 148, paragraph 3, of the Testo Unico delle Imposte sui Redditi. They provide their work to produce initiatives for the achievement of the institutional or utilize the structures and the services of the Association. They are the members, the partners and the card-holders of other Associations that perform the same activity or aim to the same objectives described in the present Statute and that, according to the Law, Rules, Charter or Statute adhere or are associated to a similar Organization local or national.
Art. 6 – Assets
Assets are constituted, in addition to mobile and immobile items owned by the Association, by members’ quotes, by contributions by Entities, Municipalities and Associations, from bequests, gifts, from donations and the proceeds from the various cultural, educational, artistic activities and the management of ancillary activities organized by the Association.
Art. 7 – Distribution of Profits
The Association is forbidden to distribute, also in indirect way, profits or surplus, funds, reserves or capitals, unless their distribution is imposed by the law.
Any annual operating surplus will be used for the realization of institutional goals or activities directly related to the latter.
Art. 8 – Application Request
To be admitted to the Association, it is necessary:
a) To present an Application Request to the secretary of the Association, by completely filling in the application form;
b) To accept the rules of this Statute;
c) To pay the membership fee.
The admission of the member is subordinated to the acceptation by the Directive Council, whose decision is final. Membership requests presented by underage persons must be signed by their parent or guardian.
Art. 9 – Rights and Duties of the Members
The qualification of Member, Associated or Participant gives the right to attend the premises and social facilities as stipulated in special regulations, and to enjoy the benefits and services provided by the Association to its Members.
They have the duty to defend in civil and Institutional scope, the good name of the Association and to observe the rules defined by Federations and Entities of Social Promotion to which the Association is a member of affiliate.
Art. 10 – Termination of Membership
Members stop to belong to the Association:
a) For voluntary resignation to be sent in writing to the Presidency;
b) For arrears in the payment of dues without justification;
c) For radiation, deliberated by the Directive Council, against the Member who commits dishonorable actions inside or outside the Association and that, with his conduct, may be an obstacle to the progression of the Association.
Against the Members can be adopted procedures of admonition and suspension, after evaluation of the gravity of their behaviour and after having notified, in writing, to the Member the facts that justify the action.
The member has the right to present his defence within five days from the receipt of the notification or, in any case, within the terms defined by the current legislation.
Art. 11 – Fiscal Year
The fiscal year goes from January 1st to December 31st of every year.
Art. 12 – Organs
Social Organs are:
a) General Assembly of the Members;
b) The Directive Council;
c) The President.

Art. 13 – Assembly
The General Assembly of Members is the highest deliberative Organ of the Association.
It rules the associative life and it convenes for ordinary and extraordinary sessions.
Art. 13.1 – Participation Rights
Only Members that have complied with the payment of membership dues may participate to the Ordinary (AGM) and Extraordinary Meetings (EGM). A Member has right to only one vote. Voting by proxy is not allowed and the vote can be submitted by post.
Art. 13.2 – Duties of the Assembly
The Assembly:
a) Deliberates, within the Social Statute, on the general directions of the activities and the management of the Association;
b) Approves, annually, the balance sheets according to what defined by the current laws on the subject;
c) Elects the Directive Council;
d) Deliberates, in extraordinary circumstances, on changes to the Statute.
Art. 13.3 – Convocation
The convocation of the Assembly, in addition to a deliberation by the Directive Council, can be requested by half Members plus one, who will submit the agenda. In that circumstance, the meeting must be held within thirty days from the receipt of the request. The convocation of the Assembly for the Ordinary or Extraordinary meeting has to happen via letter with an advance period not less than fifteen days from the date of the Meeting.
The report of the Association, to be submitted to the Assembly for approval, must be available at the headquarters of the Association for the fifteen days preceding the Assembly for its approval, available to all those who have motivated interest to read it. The report must reproduce in faithful and true way, the economical, financial and patrimonial situation of the Association.
Art. 13.4 – Validity of the Assembly
The Ordinary General Assembly is validly constituted on first convocation with the presence of the absolute majority of the members having right of vote and deliberates validly with the favourable vote with the majority of those present. The Extraordinary Assembly is validly constituted on first convocation with the presence of three quarters of the members having right of vote and deliberates validly with the favourable vote with the majority of those present.
In second convocation, the Assembly, both Ordinary and Extraordinary, is validly constituted whatever the number of members attending and deliberates validly with the favourable vote with the majority of those present.
Art. 13.5 – Changes to the Statute
Any change to the present Statute can be discussed and deliberated only by the EGM of Members only if in the agenda.
Art. 14 – Directive Council and Officers
The Directive Council is formed by five to fifteen members and it elects from among them the President, the Vice President and, even from outside its members, the Secretary.
The Directive Council’s life if three years, it meets periodically at least four times a year and can meet extraordinarily when the President deems it necessary. Its members can be re-elected.
All officers are without pay. Only Members who have fully paid their membership fee, over the age of eighteen and that are not invested with social roles in other societies and associations in the same subject, have not been condemned for criminal acts, may officers.
The Directive Council deliberates validly with the intervention of the half of its members plus one. If there is a tie, the vote of the President prevails.
If, for any reason, during the life of the Council, one or more Councillors were to leave or to decease, the remaining councillors will call the AGM to elect replacements. The new Councillors thus elected will be in charge until the expiry of the mandate of the councillors replaced.
The Directive Council must be considered dissolved and no longer in charge if, for resignation or any other reason, it has lost the majority of its components.
Art. 14.1 – Duties of the Directive Council
The Directive Council exercises the following functions and attributions:
a) It is responsible to achieve the purposes for which the Association was formed through the routine administration and, with the exception of the assembly tasks assigned specifically by this Statute, the extraordinary administration;
b) Implements the deliberations of the Assembly of Members;
c) Deliberates on the requests of admission by new Members;
d) Prepares the economic and financial budget to present to the AGM, referring on the activity performer and on the one programmed;
e) Defines the membership fee that Members have to pay annually;
f) Defines the collaborators in charge of the various activities;
g) Calls the AGM and the possible EGMs;
h) Deliberates on disciplinary actions on Members.
Art. 14.2 – Electoral Committee
At least three months before of the expiry of its mandate, the Directive Council elects the Electoral Committee which is formed by three members chosen among all the Members. The Members of the Electoral Committee must not be member of the Directive Council.
It is up to the Electoral Committee to:
a) Elect the President of the poll;
b) Present the list of candidates for the Directive Council;
c) To prepare the seat for the elections and the cards for voting;
d) Prepare the list of Members having the right of vote;
e) To establish the date of the elections within at least twenty days from the expiry date of the Social Organs;
f) To control the smooth running of the voting;
g) To proceed with the counting of votes and the announcement of the voting results.
In the case the candidates for the list for the election of the Directive Council were equal to those necessary as per Statute, rather than election with cards, the Electoral Committee will proceed to possible acceptation during an AGM to be called for at least thirty days before the expiry of the organs affected.
The Directive Council will be formed by five to fifteen Candidates from the same list which had obtained the highest number of preferences. In case of tie, the longer-standing Members of the Association will be elected. In case of equal length of membership, the oldest candidate will be elected.
Art 15 – President
The President is the lawyer representative of the Association in the face of third parts and has the power of signature in court. He convenes and presides over the Board and carries out its deliberations. The President is responsible for the administrative acts of the association made in the name and on behalf of the association. He coordinates the running of events and activities, signs correspondence that commits the Sodality .In case of absence or impediment is replaced in its functions by the Vice-President

Art. 16 – Duration
The duration of the Association is unlimited. The Association can’t be dissolved except by a specific resolution of the shareholders.

Art. 17 – Areas and Sections

The association will be structured in areas of recreation, culture and art, governed by specific regulations that will make organic part of this statute. It may also be sections in places other than its registered office, as appropriate, to better achieve the social goals.
Art.18 – Arbitrator Clause
All disputes arising between the Association and shareholders will be devoted to the sole jurisdiction of a board of arbitrators, constituted in accordance with the rules laid down by Social Promotion Authority of belonging and anyway, according to current standards and practices for non-profit associations.
Art. 19 – Dissolution
The dissolution of the Association is decided by the General Assembly convened in extraordinary session, with the approval of at least 3 / 4 of members and anyway, according to the rules of the Civil Code. In case of dissolution, the assets of the association will be donated to another Association with similar purposes of public utility, after the inspection body referred to in Article 190 paragraph 3 of Law December 23th 1996 Target 662 and unless otherwise required by law.
Art. 20 – Reference Rule

All matters not expressly provided in this Statute shall applythe provisions of the Statute and Regulations of the Federation of Social Promotion or entity to which theAssociation is affiliated in any case the provisions of the Civil Code
